Investment Management Associate

Our Vault 100 law firm client seeks a highly skilled Investment Management Associate (3-7 years) to join their dynamic and growing team. This role offers the opportunity to work closely with a seasoned group of attorneys advising a diverse client base, from billion-dollar fund families to emerging asset managers, on the full spectrum of regulatory, transactional, and governance matters within the investment management industry.

In this position, you will engage directly with clients to navigate complex issues involving the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations. You will counsel registered investment companies and their boards on a wide array of legal and regulatory matters, including:

• Fund formation and governance for mutual funds, ETFs, interval funds, tender offer funds, and continuously offered closed-end funds
• Public and private business development companies (BDCs)
• Day-to-day operations, reorganizations, and compliance strategies

• 3 to 7 years of experience advising registered funds, fund boards, or asset managers
• Deep familiarity with fund structures such as interval funds, tender offer funds, and BDCs
• Experience with corporate governance and regulatory counseling under the 1940 Acts and federal securities laws
• A strong regulatory foundation coupled with practical, business-minded judgment
• Excellent drafting, client communication, and issue-spotting skills
